Overview of SEBI Research Analyst Registration

A Research Analyst (RA) is a person who is primarily responsible for preparing or publishing the content of research reports, providing research reports, making "buy", "sell" or "hold" recommendations, giving price targets, or otherwise offering an opinion on a public offer with respect to securities that are listed or to be listed on a stock exchange. Eligibility & Conditions for Registration

• Qualification: A professional qualification or post-graduate degree/diploma in finance, accountancy, business management, commerce, economics, capital markets, banking, insurance or actuarial science; or a graduate in any discipline with the prescribed years of relevant experience in the securities/financial markets.
• Certification: Valid NISM certification — generally the NISM-Series-XV: Research Analyst Certification (now structured as Series XV-A and XV-B). All persons associated with research activity must hold the relevant certification.
• Net Worth / Net Tangible Assets: The applicant must meet the financial requirement prescribed by SEBI for individuals/firms and for body corporates respectively.
• Infrastructure: Adequate office space, equipment and manpower to effectively discharge research activities.
• Fit and Proper: The applicant and its principal officer/partners/directors must satisfy the "fit and proper person" criteria laid down by SEBI.

Registration Process

• Obtain NISM Certification: Clear the applicable NISM Research Analyst certification examination.
• Apply through RAASB: Applications are made online through the Research Analyst Administration and Supervisory Body (RAASB) portal / the SEBI Intermediary Portal in the prescribed Form A.
• Submit Documents & Fees: Upload the supporting documents and pay the prescribed application and registration fees.
• SEBI Review: SEBI / RAASB examines the application, may seek clarifications, and verifies eligibility, qualification and the "fit and proper" status.
• Grant of Certificate: On being satisfied, SEBI grants the certificate of registration as a Research Analyst, valid subject to ongoing compliance and periodic fees.

Documents Required

• PAN and identity/address proof of the applicant and principal officer.
• Educational qualification and NISM certification copies.
• Experience certificates, where eligibility is claimed on the basis of experience.
• Net worth certificate from a chartered accountant / financial statements.
• Proof of registered office and infrastructure.
• For entities — incorporation documents (Certificate of Incorporation, MOA/AOA, LLP/partnership deed) and details of directors/partners.

Post-Registration Compliance

• Maintain an arm's-length relationship and disclose conflicts of interest in every research report.
• Maintain records of research reports, recommendations and the rationale for a prescribed period.
• Comply with the code of conduct, advertisement norms and disclosure requirements.
• Conduct periodic compliance audits and renew/pay fees as prescribed.
