An Investment Adviser (IA) is a person who, for consideration, engages in the business of advising others on investing in securities or on investment products, or who issues investment advice through research analysis or otherwise. To provide such advice in India, a person must obtain a certificate of registration from the Securities and Exchange Board of India (SEBI) under the SEBI (Investment Advisers) Regulations, 2013, and is then known as a Registered Investment Adviser (RIA).
The regulations were introduced to bring professionalism and accountability to the advisory space, to clearly separate "advice" from "distribution", and to ensure that advice is given in the best interest of the client. A registered investment adviser must act in a fiduciary capacity, disclose conflicts of interest, and follow the prescribed fee structure and suitability norms.
Certain persons are exempt — for example, professionals (such as CAs, CS, advocates) giving advice incidental to their profession, and some others as specified by SEBI — but anyone holding out as an investment adviser for consideration generally needs to register.
